Voxnoto App Terms (End User License Agreement)

1. How These App Terms Fit With the Voxnoto Service

The App is a companion utility for the Voxnoto service. It lets you record audio on your device and send it to your Voxnoto account for transcription.

Your Voxnoto account, plans, usage limits, payments, User Content, AI features and data are governed by the documents that apply to the Voxnoto service:

• Terms of Service
• Subscription, Cancellation & Refund Policy
• Acceptable Use Policy
• Privacy Policy, together with the App Privacy Notice

These App Terms add the rules that are specific to the App. If these App Terms conflict with the Terms of Service on the use of the App software, recording on your device or files stored on your device, these App Terms control. On everything else, the Terms of Service control.

By installing or using the App, you agree to these App Terms.

2. Who These App Terms Are With

These App Terms are concluded between you and Voxnoto UAB only, and not with Apple Inc. ("Apple"), Microsoft Corporation ("Microsoft") or Google LLC ("Google").

Voxnoto UAB, not Apple, Microsoft or Google, is solely responsible for the App and its content.

3. License

Subject to these App Terms, Voxnoto grants you a limited, non-exclusive, non-transferable, revocable license to download, install and use the App for lawful personal or business purposes:

• for the macOS App, on any Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where supported;
• for the Windows App, on Windows devices that you own or control, as permitted by the Microsoft Store terms;
• for the Android App, on Android devices that you own or control, as permitted by the Google Play Terms of Service.

No ownership rights in the App are transferred to you.

4. Restrictions

Except where applicable law expressly permits it and cannot be contractually excluded, you must not:

• copy, modify, translate or create derivative works of the App;
• decompile, disassemble, reverse engineer or attempt to obtain the source code of the App;
• rent, lease, lend, sell, sublicense, redistribute or otherwise make the App available to third parties;
• remove or alter any proprietary notices;
• circumvent technical, usage, licensing, billing or security restrictions of the App or the Voxnoto service;
• use the App to record, intercept or transcribe communications unlawfully or without required notice or consent; or
• use the App in breach of the Terms of Service or the Acceptable Use Policy.

5. Account, Plans and Payments

The App is free to download. Using the App requires a Voxnoto account. The App uses the same account, plan and limits as the Voxnoto website and web dashboard.

The App does not sell subscriptions or other paid products and does not process payments. Any paid Voxnoto plan is offered separately by Voxnoto outside the App and is governed by the Terms of Service and the Subscription, Cancellation & Refund Policy. A paid plan on your account also applies in the App after you sign in.

Apple, Microsoft and Google are not parties to any purchase from Voxnoto, do not process Voxnoto payments, and cannot cancel or refund them. Uninstalling the App does not cancel a subscription.

6. Recording With the App

The App can record audio from your microphone and, where the operating system allows it, from your device's system audio, including audio from online calls and meetings.

Recording can start:

• manually, when you start a recording; or
• automatically, if you turn on automatic call recording. When it is on, the App starts recording when a supported calling application or video-calling website starts using your microphone. For an application the App does not recognize, it asks you once whether to record it.

Automatic call recording is off until you turn it on. You can turn it off, change which applications it applies to, and stop any recording at any time. While a recording is in progress, the App shows a recording indicator.

The App records audio only. It does not record video or the contents of your screen.

The App does not appear as a participant in your calls and does not notify other participants that you are recording.

7. Your Responsibility

You decide when and what the App records. You are solely responsible for:

• every recording made with the App, whether started manually or automatically;
• the lawfulness of each recording, including informing all participants and obtaining their consent where required by the laws that apply to you and to them. In some jurisdictions, including several U.S. states, all participants must consent. If you are not sure that a recording is lawful, do not record;
• recordings, transcripts and other files stored on your device, including their security, backup, sharing and deletion;
• the security of your device, your operating system account and your Voxnoto account credentials, and anyone who uses your device;
• the operating system permissions you grant to the App and the settings you choose in it; and
• how you use, share or rely on recordings, transcripts and AI-generated outputs.

You must comply with applicable third-party terms when using the App, including the terms of any meeting or communication platform whose calls you record.

8. Recordings Stored on Your Device

Recordings made with the App are first saved on your device and then uploaded to your Voxnoto account.

By default, the local copy stays on your device until you delete it. You can choose in the App settings not to keep local copies after upload.

Voxnoto has no access to your device and cannot view, recover or delete files stored on it. Deleting content in your Voxnoto account, deleting your Voxnoto account, uninstalling the App or stopping use of the service does not delete recordings stored locally on your device. You can delete them in the App.

To the extent permitted by applicable law, Voxnoto is not responsible for the loss, disclosure or misuse of recordings or other data stored on your device, or for unauthorized access to your device or accounts, unless caused by Voxnoto. This does not limit Voxnoto's obligations for data stored on Voxnoto's systems or any liability that cannot lawfully be excluded.

9. Account Deletion and Uninstalling

You can delete your Voxnoto account from the App: Settings › Account › Delete account opens the account deletion page in the web dashboard. Account deletion is described in the Terms of Service and the Privacy Policy. If you cannot sign in, email [email protected] from your account email address.

Uninstalling the App ends this license but does not delete your Voxnoto account or the data stored in it.

10. Updates

Voxnoto may provide updates to the App through the Mac App Store, the Microsoft Store or Google Play. Some updates may be required to keep using the App, for example for security or compatibility reasons. Updates are governed by these App Terms unless they come with separate terms.

11. Maintenance and Support

Voxnoto UAB is solely responsible for providing any maintenance and support services for the App, as described in these App Terms or as required by applicable law.

Apple, Microsoft and Google have no obligation whatsoever to provide any maintenance or support services for the App.

12. Warranty

To the extent permitted by applicable law, the App is provided "as is" and "as available". Automatic call detection may not recognize every call, and recordings, transcripts and AI-generated outputs may be incomplete or contain errors. Review them before relying on them.

Nothing in these App Terms excludes or limits any warranty, conformity right or other remedy that cannot lawfully be excluded or limited, including mandatory consumer rights in your country of residence.

For the macOS App: in the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Voxnoto's sole responsibility. The App is distributed free of charge.

13. Product Claims

Voxnoto, not Apple, Microsoft or Google, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including:

• product liability claims;
• any claim that the App fails to conform to any applicable legal or regulatory requirement; and
• claims arising under consumer protection, privacy or similar legislation.

14. Intellectual Property Claims

If any third party claims that the App or your possession and use of the App infringes that third party's intellectual property rights, Voxnoto, not Apple, Microsoft or Google, will be solely responsible for the investigation, defense, settlement and discharge of that claim, to the extent required by these App Terms and applicable law.

15. Legal Compliance

You represent and warrant that:

• you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and
• you are not listed on any U.S. Government list of prohibited or restricted parties.

You must also comply with EU, Lithuanian and other applicable sanctions and export-control laws.

16. Third-Party Beneficiary

For the macOS App: you and Voxnoto acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these App Terms, and that, upon your acceptance of these App Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these App Terms against you as a third-party beneficiary.

17. Microsoft Store and Google Play

For the Windows App: these App Terms are the App's license terms in the Microsoft Store. To the extent permitted by applicable law, Microsoft is not responsible for the App, its content, its support or any claim relating to it.

For the Android App: these App Terms are the App's terms of use for Google Play. To the extent permitted by applicable law, Google is not responsible for the App, its content, its support or any claim relating to it.

18. Termination

These App Terms remain in effect until terminated. You may terminate them at any time by uninstalling the App.

Voxnoto may terminate or suspend your license if you materially breach these App Terms or in the circumstances described in the Terms of Service. On termination, you must stop using and uninstall the App.

19. Limitation of Liability

The limitation of liability in the Terms of Service applies to the App. For consumers, nothing in these App Terms limits liability that cannot lawfully be limited.

20. Governing Law and Disputes

These App Terms are governed by the laws of the Republic of Lithuania. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside. Dispute resolution is governed by the Terms of Service.

21. Changes

Voxnoto may update these App Terms. Changes apply prospectively. Where required by law, Voxnoto will give notice of material changes in advance.
